01 Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Bolo Flex Staff, LLC ("Bolo Flex Staff," "we," "us," or "our") governing your access to and use of the Bolo Flex Staff platform, including our website at boloflexstaff.com, employer web portal, worker mobile application, and all related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

02 Description of Services

Bolo Flex Staff operates an online marketplace that connects employers seeking temporary, specialized labor ("Employers") with independent contractors and workers offering their services ("Workers"). The Platform facilitates:

• Posting of open roles and shift opportunities by Employers.
• Matching of Workers to Employer roles based on skills, availability, and location.
• Shift scheduling, time tracking, and attendance management.
• Communication between Employers and Workers.
• Payment processing for completed work.
• Worker profile creation, credential verification, and ratings.

03 Eligibility

To use the Platform, you must:

• Be at least 18 years of age.
• Be legally authorized to work in the United States (for Workers).
• Have the legal authority to enter into binding contracts.
• Not have been previously suspended or removed from the Platform.
• Comply with all applicable laws and regulations in your use of the Platform.

By using the Platform, you represent and warrant that you meet all of the foregoing eligibility requirements.

04 Accounts & Registration

Account Creation

To access most features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Use a strong, unique password for your account.
• Not share your login credentials with any third party.
• Notify us immediately of any unauthorized use of your account at support@boloflexstaff.com.
• Accept responsibility for all activities that occur under your account.

One Account Per User

Each individual or business entity may maintain only one active account per user type (Employer or Worker). Creating duplicate accounts to circumvent suspensions or restrictions is prohibited.

05 Employer Terms

Role Postings

Employers may post open roles on the Platform subject to the following requirements:

• All role postings must be for legitimate, lawful work opportunities.
• Pay rates, shift details, and role requirements must be accurately represented.
• Roles must not discriminate against Workers on the basis of race, color, religion, sex, national origin, age, disability, or any other characteristic protected by applicable law.
• Employers must not post roles intended to harvest personal information from Workers or for any fraudulent purpose.

Hiring & Engagement

When an Employer engages a Worker through the Platform, the Employer agrees to:

• Honor the terms of the role as posted, including pay rate and shift details.
• Provide a safe working environment in compliance with applicable occupational health and safety laws.
• Not circumvent the Platform to engage Workers directly outside of Bolo Flex Staff for a period of 12 months following first contact through the Platform, except as permitted under a separate agreement with Bolo Flex Staff.
• Maintain all required business licenses, insurance, and regulatory compliance.

Employer Responsibility

Employers are solely responsible for determining whether a Worker is suitable for a given role. Bolo Flex Staff does not guarantee the suitability, performance, or conduct of any Worker. Employers retain supervisory responsibility over Workers while on-site.

06 Worker Terms

Profile Accuracy

Workers must ensure their profiles accurately reflect their skills, experience, certifications, and availability. Misrepresenting qualifications or credentials is grounds for immediate account suspension.

Verification

Workers consent to identity verification and background check processes as a condition of using the Platform. You authorize Bolo Flex Staff and its designated third-party providers to conduct such checks. Background check results may affect your eligibility to accept certain roles.

Shift Commitments

When a Worker accepts a shift, they enter into a commitment to perform that work. Workers agree to:

• Arrive on time and fulfill the accepted shift as described.
• Notify the Employer and Bolo Flex Staff promptly if unable to fulfill a commitment.
• Behave professionally and follow reasonable workplace policies of the Employer.
• Not accept shifts for which they do not hold the required certifications or qualifications.

Independent Contractor Status

Workers using the Platform are independent contractors, not employees of Bolo Flex Staff or of Employers (unless separately agreed). Workers are responsible for all applicable taxes on their earnings and for maintaining their own insurance as appropriate. Nothing in these Terms creates an employment, partnership, or joint venture relationship between Workers and Bolo Flex Staff.

07 Payments & Fees

Employer Billing

Employers are billed based on completed shifts and the applicable rate agreed at the time of role posting. Specific pricing, service fees, and billing terms are set forth in the Employer Account Agreement or as displayed in the employer portal. All fees are in U.S. dollars.

Worker Payouts

Workers are paid for confirmed and verified completed shifts. Payout timing and methods are described in the worker app. Bolo Flex Staff is not responsible for delays caused by third-party payment processors, incorrect bank information provided by Workers, or force majeure events.

Disputes

Payment disputes must be reported within 14 days of the disputed transaction. After this period, transactions are considered final. To dispute a payment, contact support@boloflexstaff.com with relevant details.

Taxes

Each party is responsible for taxes applicable to their own income. Bolo Flex Staff may issue 1099 forms to Workers as required by law. Workers are solely responsible for filing and paying their own taxes.

08 Acceptable Use

You agree not to use the Platform in any manner that:

• Violates any applicable law or regulation.
• Infringes the intellectual property, privacy, or other rights of any third party.
• Involves the transmission of unsolicited communications, spam, or phishing.
• Introduces malware, viruses, or any code designed to disrupt or damage the Platform.
• Involves scraping, crawling, or automated data extraction without express written permission.
• Attempts to gain unauthorized access to other user accounts or our systems.
• Misrepresents your identity, qualifications, or affiliation.
• Harasses, threatens, or discriminates against any other user.
• Circumvents any technical measures we use to protect the Platform.

Violation of these rules may result in immediate account suspension, termination, and, where appropriate, referral to law enforcement.

09 Intellectual Property

Our Property

The Platform, including all software, design, text, graphics, logos, and other content provided by Bolo Flex Staff, is owned by or licensed to Bolo Flex Staff and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any part of the Platform without our express written permission.

Your Content

By submitting content to the Platform (including profile information, photos, or reviews), you grant Bolo Flex Staff a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content in connection with operating and promoting the Platform. You represent that you have the rights necessary to grant this license.

Feedback

If you provide feedback or suggestions about the Platform, you grant us the right to use such feedback without restriction or compensation to you.

10 Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or secure at all times.
• Any Worker will be suitable for, or will perform, any particular role.
• Any Employer's role posting is accurate, lawful, or will result in engagement.
• Background checks will identify all relevant history.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOLO FLEX STAFF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL BOLO FLEX STAFF'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BOLO FLEX STAFF IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12 Indemnification

You agree to defend, indemnify, and hold harmless Bolo Flex Staff and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform or violation of these Terms.
• Any role posting, shift engagement, or work performed through the Platform.
• Your violation of any third-party right, including intellectual property, privacy, or contractual rights.
• Any claim that your content caused damage to a third party.

13 Termination

Termination by You

You may close your account at any time by contacting us at support@boloflexstaff.com. You remain responsible for any obligations accrued prior to closure, including payments owed.

Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or if required by law.

Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and dispute resolution provisions.

14 Disputes & Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.

Informal Resolution

Before initiating any formal proceeding, you agree to contact us at legal@boloflexstaff.com to attempt to resolve the dispute informally. We will make a good-faith effort to resolve the issue within 30 days.

Arbitration

If informal resolution fails, any dispute arising out of or related to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court, except that either party may pursue claims in small claims court. The arbitration shall take place in Georgia. The arbitrator's award shall be final and binding.

Class Action Waiver

YOU AND BOLO FLEX STAFF AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

15 Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Send notice to your registered email address.
• Display a notice within the Platform.

Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform.
